Get paid every month when we use your videos

This agreement is between you (the "Creator") and Tavana Marketing LLC, doing business as Mr. Pen ("Mr. Pen," "we," "us"). It starts once we confirm your sign-up through your TikTok account (see Section 4).

1. What you're giving us permission to do

You give Mr. Pen a non-exclusive, worldwide license to use any video you have posted, or post in the future, on TikTok that features Mr. Pen products (your "Content"). We don't need to ask before using a specific video. With your Content, we may:

• Run it as paid ads on Meta platforms (Facebook, Instagram, Messenger and the Meta Audience Network), including as partnership or "whitelisted" ads where applicable.
• Post it organically on Mr. Pen's Instagram accounts (feed, Reels and Stories).
• Edit it for those uses: trim, crop, resize, add captions, text, product links, logos or calls to action, and replace or remove audio (for example, when a TikTok sound isn't licensed for use outside TikTok). We won't edit your Content in a way that changes what you said or misrepresents you.
• Credit you using your name, username and likeness as they appear in the Content, and tag you where the platform allows.

We are not required to use any of your Content. You keep ownership of your Content and may keep posting it anywhere you like.

2. How you get paid

• Paid ads: 5% of the sales attributed to each Meta ad that uses your Content.
• Organic Instagram posts: 8% of the sales attributed to each organic Instagram post that uses your Content.
• How sales are tracked: every ad and post that uses your Content gets its own Amazon Attribution tracking link (or another tracking link we choose). "Attributed sales" means the product sales that tracking reports for that link, minus orders that are cancelled, refunded or returned.
• When: we pay commissions for each calendar month by the 15th of the following month, to the PayPal email you give us below. If the 15th falls on a weekend or holiday, we pay the next business day.
• Monthly report: with each payment we email you a report listing every ad and post that used your Content that month, its attributed sales, and your commission. Questions about a report must be sent within 60 days.
• These commissions are a bonus on top of any TikTok Shop affiliate commission you earn, and they don't change it.
• You're responsible for your own taxes. You're an independent contractor, not an employee. We may ask you for a W-9 (or other tax form) before we pay, and we may pause payments until we receive it.
• If your PayPal email changes, email us at affiliates@mrpen.com. Before we update it, we'll confirm the change by message to your TikTok account. We aren't responsible for payments sent to the PayPal email on file before a change is confirmed.

3. How long it lasts and how to cancel

This agreement has no end date. You can cancel at any time by emailing affiliates@mrpen.com from your contact email. Within 30 days of your email, we'll stop launching new ads and posts with your Content and turn off any running ads that use it. Organic posts that are already published may stay up. We'll still pay commission on sales attributed to your Content up to the date the ads are turned off. We may also end this agreement at any time by emailing you.

4. Verification and your promises

To protect you and us, we confirm every sign-up by sending a message to the TikTok account you list. We won't use your Content or send payments until you confirm from that account.

• You are at least 18 years old, and the TikTok account you list below is yours.
• Everything you submit in the form is true and complete.
• You own your Content or have the right to give us this license, including permission from anyone who appears in it.
• To your knowledge, your Content doesn't violate anyone else's rights or any law.

If you sign up for a TikTok account that isn't yours, or give false information, this agreement is void. You must repay any money we paid you because of it, and we may report it to PayPal and the authorities.

5. Disclosure

We will mark ads as sponsored or paid partnerships where the platform or the FTC requires it. Ads may run under Mr. Pen's account, or as a partnership ad from your account if you approve that separately inside Meta.

6. Other terms

• We may update this agreement, including the commission rates, by emailing you at least 30 days before the change takes effect. If you don't agree to the change, you can cancel as described in Section 3.
• This agreement is governed by the laws of the State of Louisiana.
• Typing your full name and checking the boxes below counts as your electronic signature.
